Clear Terms for a Smooth Working Relationship

Welcome to Servinix Ltd. These Terms & Conditions (“Terms”) govern your access to and use of our website and services. By accessing our website or engaging our services, you agree to comply with and be bound by these Terms.

1. Services

Servinix Ltd provides digital technology services, including but not limited to:

  • WordPress Website Development
  • Custom Website Development
  • eCommerce Website Development
  • Custom Software Development
  • Mobile Application Development
  • Website Maintenance & Support

All services are provided in accordance with the agreed project scope, requirements, deliverables, pricing, and estimated timeline. Specific project terms may also be set out in a quotation, proposal, statement of work, or separate service agreement.

2. Client Responsibilities

When engaging our services, you agree to:

  • Provide accurate and complete project requirements and information.
  • Respond to communications and requests within a reasonable timeframe.
  • Provide all necessary content, materials, access credentials, approvals, and other information required to complete the project.
  • Review and approve project work within a reasonable timeframe.
  • Use our website and services only for lawful purposes.
  • Ensure that any content, materials, images, software, or other assets supplied to us may lawfully be used for the project.

Failure to meet these responsibilities may result in changes to project timelines, additional costs, or suspension of work.

3. Payments and Fees

  • Unless otherwise agreed in writing, services may require payment in advance or according to an agreed payment schedule.
  • Payments may become non-refundable once project work has commenced, subject to our Refund & Returns Policy and any applicable statutory rights.
  • Additional features, functionality, content, or changes outside the agreed project scope may incur additional charges.
  • Invoices are payable by the date specified on the relevant invoice or agreement.
  • Late or overdue payments may result in delays, suspension of services, or termination of the project.

4. Project Delivery

  • Project delivery dates are estimates and may depend on the complexity of the project, availability of required resources, and timely client communication.
  • Servinix Ltd is not responsible for delays caused by the client’s failure to provide information, content, approvals, access, or feedback.
  • Delays caused by third-party services, hosting providers, payment providers, APIs, software platforms, or other external services may also affect delivery times.
  • A project will generally be considered ready for final delivery once the agreed features and requirements have been completed and provided to the client for approval.

5. Revisions and Changes

  • Where revisions are included, they are limited to the number specified in the relevant quotation, package, or service agreement.
  • Additional revisions may be charged separately.
  • Changes that materially alter the original requirements, functionality, design, or scope may be treated as additional work or a new project.
  • Requests made after final approval may incur additional charges and may require an amended delivery timeline.

6. Intellectual Property

Subject to full payment of all applicable fees, the client will receive the agreed rights to the final project deliverables created specifically for the client, unless otherwise stated in the relevant agreement.

Servinix Ltd retains ownership of its pre-existing materials, development methods, frameworks, reusable code, libraries, tools, templates, know-how, and other intellectual property used in delivering the services.

Third-party software, plugins, themes, fonts, images, APIs, libraries, and other assets remain subject to their respective licences and terms of use.

Unless otherwise agreed in writing, Servinix Ltd reserves the right to display completed projects as part of its portfolio and marketing materials, provided that doing so does not disclose confidential information.

7. Confidentiality

We respect the confidentiality of information provided to us during the course of a project. We will take reasonable steps to protect confidential business, technical, and project-related information and will not knowingly disclose such information to third parties except where:

  • Disclosure is necessary to provide the agreed services.
  • Disclosure is authorised by the client.
  • Disclosure is required by law, regulation, court order, or other legal obligation.
  • Disclosure is necessary to protect our legal rights, property, systems, or safety.

Our handling of personal information is also governed by our Privacy Policy.

8. Support and Maintenance

  • Ongoing support and maintenance are provided only where included in the selected package or covered by a separate maintenance or support agreement.
  • Support does not normally include new functionality, major redesigns, or work outside the agreed maintenance scope.
  • Servinix Ltd is not responsible for problems caused by third-party services, hosting providers, software updates, plugins, themes, APIs, or unauthorised modifications.
  • Additional work required to resolve issues outside the agreed support scope may be charged separately.

9. Third-Party Services

Some projects may depend on third-party services, platforms, hosting providers, software, plugins, APIs, payment providers, or other external technologies.

Servinix Ltd does not control the availability, security, functionality, pricing, or policies of third-party providers and cannot guarantee their continued operation. Any third-party services used as part of a project may be subject to separate terms and licensing conditions.

10. Limitation of Liability

To the fullest extent permitted by applicable law, Servinix Ltd will not be liable for indirect, incidental, special, or consequential losses arising from the use of our services.

This may include, where permitted by law:

  • Loss of profits or revenue.
  • Loss of business opportunities.
  • Loss of anticipated savings.
  • Loss or corruption of data.
  • Business interruption.
  • Issues arising from third-party services, hosting providers, software platforms, or external systems.

Nothing in these Terms excludes or limits liability where doing so would be unlawful, including liability that cannot legally be excluded or limited under applicable UK law.

11. Termination and Suspension

Either party may request termination of a project or service in accordance with the applicable agreement and our Cancellation Policy.

Servinix Ltd may suspend or terminate services where reasonably necessary, including where:

  • The client materially breaches these Terms or another applicable agreement.
  • Required payments are not made.
  • The client engages in unlawful, fraudulent, threatening, abusive, or inappropriate behaviour.
  • The client requests services or activities that would be unlawful or inappropriate.
  • Continued provision of the service is no longer reasonably possible.

Any outstanding amounts for work already completed or services already provided may remain payable following termination.

12. Cancellation

Project cancellations are governed by our Cancellation Policy. Where a refund is applicable, it will be handled in accordance with our Refund & Returns Policy.

Nothing in these Terms is intended to remove or restrict any statutory rights that cannot legally be excluded or limited under applicable UK law.

13. Changes to These Terms

Servinix Ltd may update these Terms & Conditions from time to time to reflect changes to our services, business practices, or applicable legal requirements.

Any updated version will be published on this page with a revised effective date. Continued use of our website or services after the updated Terms have been published may constitute acceptance of the revised Terms, where applicable.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales, unless otherwise required by applicable law.

Subject to any mandatory consumer rights or applicable legal requirements, the courts of England and Wales will have jurisdiction over disputes arising from or relating to these Terms.
